The PITCH

Step Into A New World

Whether it’s too cold outside, too hot, or too dark, the treadmill is always a convenient and comfortable option for exercise. Octonic VR takes the treadmill beyond convenience and comfort, and allows its users to safely exercise in the universe’s most beautiful places and explore fantasy worlds created in VR with friends, AI bots, and runners from across the world. The company’s VR application changes the treadmill experience from a boring, convenient exercise, to a fun, social, and gamified workout. Exercise anywhere, anytime, with whomever you want!

Octonic VR is led by a strong team with a significant amount of VR, gaming, and startup experience. Co-founder and CEO, Ilya Polokhin, has 6+ years of experience in VR simulator building and was previously the founder and CEO of the leading U.S. VR simulation center: Hubneo VR Lab. David Wen, co-founder and Chief Engineer, has 8+ years of experience in gaming and coding and previously ran Hubneo VR Lab as chief engineer. And Nahiyan Ahmad, Chief Business Officer, also adds a lot to the team with 7+ years of experience in VR startups and was previously VP of business development at Jump into the Light, a  development studio and VR arcade in Manhattan.

The PrOblem & Our Solution

Adventure At The Touch Of A Button

Today’s treadmill exercises can feel extremely boring. With music and videos as our only option, walking or running on a treadmill can feel monotonous and isolating, which makes staying motivated even more difficult.

It's time to give your treadmill workout a destination.

Walkers and runners can now download Octonic onto their mobile VR headsets, including currently on the Meta Quest 2 and Quest Pro and soon on Apple’s new XR headset, and exercise in virtual environments either solo, or with friends, AI bots, or other walkers and runners from around the world. Octonic’s system includes a content platform to access VR worlds, a VR social hub for private group races with friends or public competitors, and a performance board that allows runners to track their runs.

Octonic works with 99% of treadmills on the market in non-connected mode, where runners can adjust the physical treadmill's speed manually, utilizing a passthrough viewbox. The app also links with 40 treadmill brands in connected mode, allowing for full control over physical treadmills (start/stop, speed, etc.) from VR through Bluetooth connectivity. Octonic's Motion Engine precisely matches the physical treadmill speed with the VR speed, greatly mitigating motion sickness risk and empowering complete immersion.

Additionally, in collaboration with longstanding partner, NoblePro (the leading UK smart treadmill manufacturer), Octonic VR has created VR treadmill replicas of NoblePro treadmills, precisely calibrating in-headset treadmill visuals with the real thing, including handrails and the moving belt. So when people reach out to their virtual treadmills, they will touch their real NoblePro treadmills in complete synchronicity, creating what we believe to be the first-ever integrated VR fitness treadmill.

Octonic’s 3-level proprietary safety system makes VR treadmill running as safe as non-VR running. Its safety features include positional awareness to give runners real-time info about their position on the treadmill belt, a departure warning system that gives runners visual and audio cues if they leave the safety zone, and a passthrough feature that gives runners the option to switch out of virtual reality and into a passthrough view of the real world with the simple press of a button in their VR controls.

In additional to the treadmill mode, Octonic offers a non-treadmill mode that allows runners without treadmills to exercise using the app. To make this happen, Octonic VR developed a Motion Engine feature that tracks runners' movements and adjusts their speed on the virtual running trail automatically. Runners also have the flexibility to enter the same library of virtual running trails available in treadmill mode. And for those moments when runners can use a treadmill, they can easily change modes within the app.

The Market & our traction

Combining Three Growing Markets

Octonic VR is targeting not just one, but three growing markets: in-home treadmill users, VR/AR headset users, and health & fitness club members. The global home treadmill market is expected to grow at a CAGR of 3.3% over the next 5 years, reaching $4.31 billion by 2028, and the global VR/AR market is expected to grow at a CAGR of 13.72% over the next four years, reaching $52.05 billion by 2027 (Source | Source). Apple’s XR headset announcement on June 5th will also play a significant role in helping the VR market accelerate. Additionally, the global health & fitness club market is currently estimated to be $70.3 billion, growing at a CAGR of 11.86% (Source), reaching $110.07 billion by 2027. Based on these, the company calculates its total addressable market to be valued at about $29.4 billion with 138M users by 2030.

Octonic VR launched its free demo product on SideQuest in February 2022, which received positive early reviews. In response to this success, the company released its product in Meta’s AppLab store in August 2022, which followed in April 2023 by the launch of Octonic sales in Walmart's online store. Since the launch in 2022, Octonic VR has been downloaded by over 6,000 users. Octonic’s model allows users to download Octonic as a demo for free giving them limited access to running worlds. For full access, users make in-app purchases or subscribe.

As of the end of 2021, Octonic raised $450,000 from Waarde Capital and $500,000 from a group of angel investors as part of an early seed round. The company also filed utility patents on over 20 innovations for its motion engine and safety system.

WHy Invest

Running Around The World And Beyond

Octonic VR’s software has the potential to completely change the way people workout and the way people view the treadmill. And with Apple entering the VR market and supercharging the industry, now is potentially as good a time as ever to invest.

The company currently offers multiplayer running sessions for up to eight people and is working on building a social hub for runners. Octonic has also produced nine worlds and continues to add to its library of worlds every month, offering a variety of options that cater to a wide variety of consumers, whether they are fitness enthusiasts, gamers, or recreational VR users. Currently, Octonic is in discussions to partner with gyms and rehabilitation centers to offer Octonic to the centers’ customers for use with their treadmill equipment. As part of this offering, they are developing an in-app feature that allows fitness trainers to lead group exercise sessions. Besides treadmills, Octonic plans to expand the brand to include bikes, rowing machines, elliptical machines, and more.

The company's team also has unique knowledge of VR treadmill technology, after having built motion simulators for several years, which gives them esoteric insights into building their software. This makes it difficult for new market entrants to develop a competitive technology, thus giving Octonic a first-mover competitive advantage.

*The above graphic depicts product specifications for VR headsets that are or are anticipated to be compatible with Octonic's software. The Apple VR Headset does not have compatibility with Octonic's software at this time.

We believe the company is well-positioned to capitalize as VR technology advances. This year alone has seen the announcements of highly anticipated headsets like Apple’s new XR headset, the Meta Quest 3, and the HTC Vive XR Elite. These new headsets will be smaller, lighter, and potentially more powerful in performance, so consumers will be able to exercise in comfort while experiencing increasingly realistic visuals.

And moving forward, Octonic's team is ready to raise their game even further for upcoming headsets, as well as for consumer AR glasses that will be released in the coming years.

As it stands, they've already maximized the current technology's limits to achieve photorealistic worlds.

Overall, the health and fitness space has been slow to innovate, while VR Fitness is a success story with applications like Beat Saber and SuperNatural driving VR adoption. Fitness equipment brands and gyms need a new hero product and Octonic is intensely focused on addressing this need. Join us, and let runners experience Octonic's virtual worlds and inspire their personal best, without leaving their home or gym!

Last opportunity to invest in Octonic tomorrow by 11:59PM PT

Hi Everyone,

With the Apple Vision Pro set to come out in early 2024, our team is at work to make sure that Octonic is ready at release. Over the course of the summer, we’ve made amazing progress in developing the app, according to Apple’s specifications. This involves giving users the freedom to view into our virtual worlds through windows in the real world, allowing them to adjust the size of the window according to their preferences. In this way, users will be connected with both the real and virtual worlds as they exercise. You can see a preview of what we’re working on below.

The Apple Vision Pro will be a game-changer, not only for the XR space, but also for our company. With its release, we expect the industry to accelerate in growth, and we are poised to capitalize on this opportunity. With one day until our campaign’s close, you have limited time to join us on our journey to revolutionize the fitness industry. As the XR space expands, your investment will both support our effort and put you in an advantageous position as the industry hits an inflection point. Invest by 11:59PM PT tomorrow before time runs out!

Sincerely,

The Octonic Team

Octonic is now available for the PICO 4!

Hi Everyone,

We are excited to announce that Octonic has been accepted to PICO Lab and is now available to anyone with a PICO 4 headset. Our team conducted in-depth tests over the summer to optimally port and build the product for the PICO’s ecosystem before submitting the app for review with ByteDance. Now, anyone with a PICO 4 headset can find and download Octonic by searching for us in their library.

Users will have the exact same features, running worlds, and functionality as they have with our Quest version, with the additional benefit of having a smaller design, due to PICO 4’s pancake lenses, as well as a lighter weight. As a result, users can have an even more comfortable exercise experience as they get in shape.

Our team is focused on expanding distribution of Octonic across the world, and availability in PICO’s ecosystem is a critical move in this endeavor. Currently, PICO 4s are available in Asia and Europe, which will allow us to grow our footprint in those regions. And we hope to do the same in North America once ByteDance releases the headset here.

Looking forward, we are planning to make Octonic available across all major platforms. Both the Apple Vision Pro and HTC Vive XR Elite are next in line for us, but we expect numerous additional entrants to come to market in the coming years. Your investment will be essential to helping us build a top-of-the-line experience for all major headsets. With your support, we will be able to build out our world-class development team and ensure that we are able to ship a quality product for all platforms. But time is running out with less than five days left in the campaign, so invest today to help us on our journey.

Sincerely,

The Octonic Team

Using Octonic for Rehabilitation

Hey Everyone,

We are thankful to be receiving positive feedback from Octonic’s users from across the world, and comments that stand out to us include perspectives on how our app is helping people get motivated to use their treadmills and stay in shape. Below is just one example from a review on the Meta Quest Store:

Feedback like this has inspired us to explore how Octonic can be used for the purposes of rehabilitation. For example, a patient who is recovering from injury would use a specialized version of our product to exercise and rejuvenate themselves as part of their healing process. Our team is in the early stages of development and in frequent contact with medical teams at treadmill manufacturers to build out the product for physical therapy facilities.

Your investment will be critical to our development of our rehabilitation solution. With your support, we’ll be able to build a product that plays a key role in helping people get healthy and reach their physical peak. With less than 8 days left in the campaign, you still have an opportunity to help us make an impact on people’s lives, but time is running out. Invest today to partner with us on our journey to help users across the world heal and physically flourish.

Sincerely,

The Octonic Team

Enabling Running Classes within Octonic

Hi Everyone,

Octonic is continuing to expand our social running capabilities. Our team has been developing a coaching platform on top of our spectator mode which will allow instructors to view class participants in VR, coach them, and monitor their progress. Octonic will not just be a social experience, but also a platform where group running classes can take place remotely, all within VR. We are not only building a fitness app, but a community of fitness enthusiasts.

Photo by Sven Mieke on Unsplash

Connecting people through fitness in XR is one of our main objectives and we have big aspirations to elevate our social features. In order to accomplish our goals, we will need your support, which will be critical in further developing and marketing Octonic. With less than 12 days until the close of the campaign, time is running out to partner with us on our journey. We are offering numerous investment rewards, including bonus shares and free subscriptions to our app, among others. Invest today to partner with us as we make fitness more enjoyable and social.

The Octonic Team

Sharing your Workout Experience with Others

Hi Everyone,

Soon, you won’t need a headset to observe VR exercising with Octonic. Our development team has been working on a screen mirroring mode that allows users to spectate other runners in VR on external devices like mobile phones and TV screens. This will allow others to watch your workouts and competitions, without needing to be in VR. We are getting this feature ready for use in gyms, so races can be observed by other gym goers, but you’ll be able to use clips from your workouts for streaming and on social media as well. In the end, your exercise routine will be a shareable experience with anyone, even if they don’t have access to a VR headset. Check out a clip of what we’re working on below.

Our team continues to build out our product with a shoestring budget and we have many more concepts that we’d like to pursue. But in order to accomplish that, we will need your support to provide us with critical resources to catalyze our growth. With less than 15 days left in the campaign, time is running out to not only partner with us on our journey, but also get access to rewards like free Octonic memberships, as well as rebates for the purchases of Quest headsets and certain treadmill equipment. Invest today to help us build the future of fitness.

Hearing Our Story in Our Own Words

Hi Everyone,

We have been fortunate to receive a growing amount of media coverage for our work across numerous publications, including VRScout and Mixed Reality News, but we’ve often found that the best way to convey our passion for what we do has been through our podcast interviews. This year, some of our core team members had the good fortune of being invited to podcasts, including VR Fitness Insider, hosted by Preston Lewis and Ryan DeLuca, and XR Magazine, hosted by Diana Olynick. We greatly enjoyed discussing our backgrounds, our stories of how we met, and our outlooks on the future of XR, among other topics.

We hope that hearing us in our own words gives a clearer sense of not only who we are, but also what gets us so excited about Octonic, fitness, and the potential for XR to make an impact on our world. You can check out a video from our VR Fitness Insider interview below.

Our passion for Octonic has carried us to a stage where we’ve built a successful product that’s getting rave reviews, with just a small budget. We have big plans to take the product to the next level, but need your support in order to make our vision come to life. With only 19 days left in the campaign, time is running out to join us on our journey, so invest today to help Octonic reach our full potential.

Sincerely,

The Octonic Team

Building a Fully Integrated Treadmill Mode

Hi Everyone,

Since Octonic’s early days, we have been collaborating with our long-standing partner, NoblePro, in developing and testing our app, and ensuring that it delivers a truly immersive experience. Our partnership has resulted in the first ever fully integrated treadmill mode that not only synchronizes controls, but also introduces a VR treadmill model which can be calibrated with the real world one. So when people reach out to their VR treadmills, they will touch their real NoblePro treadmills in complete synchronicity. We also have actively promoted each other’s products with joint appearances at major conferences. For example, we shared a booth at the UK National Running Show to demo an early version of our app to active running enthusiasts, which you can see below.

Our NoblePro partnership is just the first of many. While Octonic currently connects wirelessly with 40 treadmill brands, we are in active discussions with numerous treadmill manufacturers to not only offer a fully integrated treadmill mode for their ecosystems, but build a customized and tailored version of Octonic for their brands. In order to do this, we will need your support to further build our team and develop our product. With 22 days until the end of our campaign, time is running out to join us on our journey. Invest today to help us revolutionize fitness.

Sincerely,

The Octonic Team

The Innovation of our UI/UX

Hey Everyone,

Building a VR app for fitness treadmills was not an easy feat for us at Octonic, and part of the reason for that was the need to build an interactive app design that’s both intuitive and simple to use. Our team spent years coming up with just the right UI/UX. With our proprietary, mixed reality interface, users are able to create a passthrough viewbox into the real world that allows them to see the treadmill’s physical controls and moving belt while exercising. And if they feel the need to go into full passthrough mode, they can do that with the push of a (virtual) button. See below for a brief demonstration.

As we continue to build the app, we are actively listening to feedback from our community about our UI/UX and implementing their suggestions. For example, we’ve added the option to hide the running avatar for a more unobstructed view of running worlds. In addition, we’ve implemented a swappable hand-tracking/controller interface that allows users to navigate the app using either input method (we still require running without controllers for comfort).

Innovation is the driving force behind our work. We have a host of other innovative ideas that we would like to pursue, but in order to do so, we’ll need your investment in this campaign. And with less than a month before we wrap up, time is running out for you to join us on this journey. Invest today to help us bring our innovative ideas to fruition, and help us revolutionize fitness.

Sincerely,

The Octonic Team

Takeaways from a Successful Midwest Roadshow

Hi Everyone,

Octonic currently wirelessly connects with 40 treadmill brands, allowing users to adjust treadmill controls, including start/stop and speed, from within VR, but we are not stopping there. During the last week of July, some of our core team members embarked on a Midwest roadshow to meet with numerous treadmill manufacturers at their headquarters, with the goal of finalizing partnerships for Octonic’s integration into their product ecosystems. We had extremely productive meetings with company leaders at all our visits, which included facilitating product demos to show how our app would work with their treadmill products. Moving forward, we have a number of deliverables for each manufacturer we met with, and hope to finalize agreements in the near future.

Partnerships are just one piece of the puzzle for our company’s growth, which will also require scaling up our development team to keep innovating, in addition to augmenting our marketing effort to ensure that more potential customers know about us. But in order to accomplish these objectives, we need additional resources. With your support, we will be able to take Octonic to new heights and truly make an impact on the fitness industry. Invest today.

Sincerely,

The Octonic Team

Hi Evan, Octonic is compatible with 99% of treadmills in non-connected mode, where runners can use the passthrough viewbox in the app to access the physical controls of the treadmill, without taking off their headsets. By matching the speed of the treadmill with the speed of the VR controls, they can run seamlessly through the VR worlds. Additionally, Octonic can be used with over 40 different treadmill brands in connected mode, where runners perform a quick bluetooth calibration to wirelessly connect their headsets to their treadmills. This allows for communication between both devices, so that when the users change speeds or press start/stop in VR, the actual treadmill does the same in real time. A list of supported treadmills can be found here: https://octonicvr.com/connectedtreadmills. This list is not exhaustive, and Octonic will also work with any treadmill that has the FTMS bluetooth protocol implemented for treadmill control. We also have plans to greatly increase the number of supported connected treadmills in the future by expanding our connected mode functionality. Finally, in collaboration with our long-standing treadmill partner NoblePro, we have developed the first ever fully integrated treadmill mode that not only synchronizes controls, but also introduces a VR treadmill model which can be calibrated with the real world one. So when people reach out to their VR treadmills, they will touch their real NoblePro treadmills in complete synchronicity. Best, Nahiyan

How is your app different from all other VR fitness apps?

Hi Mohamed, Octonic was developed to make the fitness treadmill experience specifically more fun and exciting, whereas other VR fitness apps either work with non-treadmill fitness machines, or are static experiences not utilizing fitness equipment. To our knowledge, it’s the first VR app that connects mobile VR headsets with treadmills. This is possible due to the in-depth knowledge our Co-founders, Ilya Polokhin and David Wen, gained while building and working with VR motion simulators at Hubneo VR Lab, one of the leading VR simulation centers in the United States. With their knowledge, they were able to solve the complex technical challenges of locomotion and synchronization while using a headset on a treadmill. Over time, due to popular demand, we expanded Octonic’s capabilities to include a stationary run-in-place mode. And looking forward, we are evaluating opportunities to integrate Octonic with other types of fitness machines. Best, Nahiyan

Octonic VR

Hi Jason, Our team has developed, and tested alongside treadmill manufacturers like NoblePro, a proprietary and patent-pending safety system to ensure peace of mind while running. It is built on three main elements: real-time position tracking, a departure warning system, and a passthrough view feature. These three elements work in conjunction to give users both audio and visual cues to ensure that they are safely engaging with our software and the treadmill. Our thorough testing proved its effectiveness, and the early results from our 6,000+ customers support that. If you would like more info about our safety system, please read this blog post on our website: https://octonicvr.com/posts/VR-Fitness-with-Peace-of-Mind.

Octonic VR

From 2021, our focus changed from Hubneo VR Lab, a leading VR Simulation Center in NYC, to Octonic. In the 1Q 2021, Hubneo was partially open for business generating revenue. So 100% of our 2021 revenue came from Hubneo VR Lab, while Octonic was our R&D cost center. After 2 years of development and testing, in September 2022, Ocotnic launched sales in Meta’s AppLab Store. So when comparing revenues between 2021 and 2022 you’re comparing Hubneo VR Lab revenues in 2021 with Octonic sales at the end of 2022 (not apples to apples). You can find more information in our Offering Memorandum here (Page 22): https://startenginebetadev.s3.amazonaws.com/production/startups/6407d7c54ce5a836b01455ac/documents/offering_details/offeringdoc.pdf Multiple methods were used and compared to arrive at a $19.7 million valuation: In a prior funding round, Waarde Capital, did an independent evaluation and offered a CAP valuation of $18.75. Since that time, we’ve reached many milestones, including filing utility patents on over 20 innovations, launching sales in Meta’s AppLab Store and releasing 10 running worlds with downloads by 6,000+ customers. We used VirZoom, which builds VR software for non-fitness-machine exercises and for stationary bikes, as a benchmark. By mid 2022, VirZoom raised $2.2M from a crowdraising campaign on Wefunder at a $30.5M valuation. We took into account that VirZoom launched its product more than two years ahead of Octonic’s and, as a result, has more market traction to-date, and accordingly adjusted down our valuation. We also used a Discounted Cash Flow model (DCF) and arrived at the enterprise value in today's money of $19.7M. After comparing the results of the different methods and sources of valuation described above, management decided to use a consensus amount of $19.7 million as both a reliable and conservative estimate of the Company’s pre-money value. You can find more information on our valuation basis in our Offering Memorandum here (Pages 26-28): https://startenginebetadev.s3.amazonaws.com/production/startups/6407d7c54ce5a836b01455ac/documents/offering_details/offeringdoc.pdf We hope this helps. Please let us know if you have additional questions. Sincerely, The Octonic Team

Hi Emilio, While there are other games with fundraising campaigns, Octonic is highly unique. We are the first and only XR experience for jogging, running and walking on 99% of fitness treadmills either at home or the gym. In order to ensure a safe experience our team had to innovate and has filed utility patents on over 20 innovations for its motion engine and safety system.

FAQS

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.

StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System (“ATS”) operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board (“SE BB”) is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
