Sentinels to attend largest VALORANT event of 2024

Our VALORANT team has proved themselves once more as one of the best teams in the world. They are set to compete in the most anticipated VALORANT event of the year: Champions. The team will face off against VCT Shanghai winners Gen.G in the first round on August 1 at 1am PST/9am BST/4am ET.

The qualification has added to one of the most successful years for the VALORANT roster. Recently the team travelled to Seoul, South Korea, to participate in the tournament, set to begin tomorrow.

Sentinels were placed in Group B via a random draw alongside VCT Pacific 2024 winners Gen.G, VCT China Stage 2 runners-up FunPlus Phoenix, and VCT Masters Shangai runners-up Team Heretics.

The team will look to secure its second international trophy of the year following a first-place finish at VCT Masters Madrid in March. At the grand final in Madrid, Sentinels defeated Gen.G to win the event.

From the start of the season in October 2023 to Champions 2024, Sentinels has played 33 matches against professional teams and won 25, which equates to a winning record of around 78%.

Sentinels CEO Rob Moore said “This team has been hard at work since October, they have put together a spectacular season, including a Championship at Madrid Masters. So we’re looking to finish the season with a strong performance at Champions,” he said.

Champions will be held from Aug. 1 to Aug. 25. In addition, it will feature the likes of Fnatic, Team Vitality, FUT Esports, Paper Rex, DRX, EDward Gaming, Leviatan, and others. The face of Valorant , Tarik, will watch-party the tournament including all Sentinels matches.

To celebrate the qualification, Sentinels has launched an exclusive Korea-themed Champions jersey. Fans can pre-order through the Sentinels shop and the jersey will be shipped in September this year.

Fans can look for a full line of Champs-inspired merchandise to launch this week.

Q1 was the most successful in Sentinels history

We are excited to share that Sentinels had the most successful quarter in the organization’s history.

This was achieved in combination with the VALORANT team’s Major Championship win, the expansion of in-house production and distribution of merchandise, and the introduction of the Sentinels-themed VCT capsule in VALORANT.

At the start of the year, Sentinels VALORANT team won the America’s Kick-off tournament, the first regional event. The team took down Brazilian World Champions LOUD in the grand finals to secure a spot at the first VCT international event in Madrid, Spain.

Following this regional victory, the VALORANT team continued its dominance on the international stage with an emphatic win over Gen.G in the grand final of VCT Masters Madrid. The match achieved the highest peak viewership of any VALORANT match in history, with 1,687,848 peak viewers, according to data collected by Esports Charts. This win resulted in Sentinels becoming the second team in history to win two major international VALORANT events.

To continue our dominance over the VALORANT entertainment space, the company re-signed Tarık Çelik to a minimum two-year extension. He has become one of the most popular streamers in the world and the go-to streamer for the official VALORANT Champions Tour.

Also, Sentinels’ merchandise operations were brought in-house in the back half of 2023, and the organization saw the immediate impact of the change at the start of 2024. This has given us the ability to move quickly to seize opportunities from peak fan interest, especially after the victory in Madrid.

This change coincided with the release of the Sentinels VCT-themed capsule, a bundle of in-game digital goods created by Sentinels and VALORANT developers Riot Games. According to data shared publicly by Riot in March, Sentinels had the highest-selling Team Capsule in all of the Americas and the second-most popular in the world.

While Sentinels is unable to share explicit details on the amount of revenue generated by the capsule, the organization can reveal it played a significant role in the increase in revenue. The information collected includes the net sales in the first five weeks of the capsule’s introduction.

Due to all of the aforementioned factors, sales tripled in the first quarter from around $740,000 to $2.2 million.

During the first quarter, the esports industry underwent a significant shift in salaries and other contributing factors. This resulted in a reduction of player salaries and buyouts, reducing costs across the board. All of the aforementioned factors led to the Company’s first-quarter loss being cut in half from $2 million to $1.1 million.

Also, Sentinels is experiencing an improvement in the advertising market, including sponsorships, and sees the possibility of the Company breaking even by the first half of 2025 if the potential gains in advertising are achieved.

Overall this quarter showed significant improvement from the previous year’s financial results. The company has thrived with the introduction of the VCT capsule, the switch to in-house merchandise operations, higher projected advertising revenue, consolidation of salaries and buyouts, and the success of the VALORANT team.

Sentinels wins first international VALORANT event

Sentinels is proud to announce that our VALORANT team has won the first international tournament of the year, VCT Masters Madrid. This makes Sentinels only the second organization in the history of VALORANT to earn two international titles. Also, it was revealed by Riot Games that the Sentinels-branded team capsule, which is available for purchase in the virtual VALORANT store, was the second most popular in the world for the first month of sales.

Following over a week of competition in the heart of Spain, the VALORANT team managed to take down the best teams in the world such as LOUD, Paper Rex, and Gen.G to emerge victorious, earning $250,000 in prize money for the first place finish.

On Sunday, March 24, the last day of the tournament, the global head of esports for VALORANT at Riot Games announced that Sentinels has the second-most popular in-game team capsule, which VALORANT players can purchase at any time for the equivalent of $25. This marks an important moment in the effort to increase the revenue streams at Sentinels and symbolizes the marketing effort from the social team, marketing team, and even the players themselves, spearheaded by Jordan “Zellsis” Montemurro #SenBundle.

Also the viewership numbers of the tournament set a new record. During the grand final, the peak viewership was 1,687,848, making it the most-viewed VALORANT match in history. Also, Sentinels are featured in each of the five most-watched games throughout the tournament, according to data collected by EsportsCharts

The three most popular matches, which all featured Sentinels, broke over one million peak viewers.

This caps a streak of four straight tournament titles since November, starting with a win in the Sentinels Invitational Tournament, followed by a first-place finish in the AfreecaTv League Tournament in December. Sentinels then took home the crown in the Americas Kickoff tournament in early March.

The Sentinels VALORANT team will be back in action for the VCT Americas regular season, which begins with an opening match against 100 Thieves on April 7.

Sentinels win NA VCT Kick-Off!

Sentinels, who won the first-ever official international VALORANT Champions Tour event in Reykjavik in 2021, have added another trophy to the cabinet with an emphatic victory over 2022 World Champions and 2023 Americas Champions LOUD in the first official VCT event of 2024.

Following an intense off season that saw the organization bring home titles in the Sentinels Invitational and the Afreeca TV League Tournament where the team defeated the 2023 Pacific Champions Paper Rex, Sentinels went into the tournament with high expectations. After a series of hard-fought wins against top-level opponents such as NRG, Leviatan and 100 Thieves, Sentinels was crowned the VCT Kick-Off Champions, earning their spot at VCT Masters Madrid, the first international tournament of the year.

Speaking on the victory, Sentinels CEO Rob Moore said “The team has put in the work over the last six months capturing two titles along the way. We brought in two new players who have helped us culminate our turnaround with in game leader, Mouhamed “johnqt” Ouarid, and the ultimate flex player Jordan “Zellsis” Montemurro. They have meshed so well with the sole remaining member of our 2021 title wining team, Tyson “Tenz” Ngo, former World Champion Gustavo “Sacy” Rossi, and budding superstar Zachary “zekken” Patrone. We are incredibly excited about the possibility of going to Madrid and capturing another Masters crown.”

Sentinels superstars Tyson “TenZ” Ngo and Zachary “zekken” Patrone were two of the best performers in the tournament. Zekken was the second joint-highest-rated player of the event, according to VLR.gg, while TenZ was crowned the player of the match in the grand final against LOUD.

The match against LOUD was the highest-watched of the event in any region with 823,008 peak viewers, according to data collected by EsportsCharts. To add to this impressive achievement, the match holds the all-time record for most viewership in any non-international VALORANT match. Sentinels features in three of the top five matches with the highest viewership figures in this tournament.

Sentinels is set to open the event at VCT Masters Madrid against Europe’s Team Heretics at 11am PST on Friday, March 15. The entire playoff field at VCT Masters Madrid includes Karmine Corp, Paper Rex, Heretics, Gen.G, Edward Gaming, FPX, and LOUD. The tournament starts on March 14 and concludes with the Grand Finals on March 24.

Sentinels reflect on remarkable 2023!

We are excited to share our year-end update for 2023, which will enable investors, fans, and the wider community to review our prospects, successes and triumphs as we look to improve for 2024.

Last year Sentinels was the most-interacted brand in the VALORANT Champions Tour Americas on Twitter (X). Our stellar social media team consistently promoted the brand and it’s key to the strategy of creating the most popular brand in esports. This led to Sentinels achieving the fastest follower growth rate compared to other organizations on Twitter.

Sentinels launched a strategic partnership with StartEngine mid-way last year to allow fans to invest in Sentinels. Through StartEngine, Sentinels managed to raise $194k with 111 unique investors. Shortly after, to pair with the investment and to symbolize their commitment to the organization, the Sentinels ownership group invested an additional $3.4 million into the company, which is being utilized to fund the growth of the organization including expanding its merchandise operation.

Speaking on the injection, Sentinels CEO Rob Moore said “The investment in the company is a testament to our belief in Sentinels as a brand and the long-term opportunities in esports. We also wanted to provide fans, who are the most important part of our business, the ability to own a share of the company.”

In October, the Sentinels Halo team finished in fourth place at the World Championships and won $70,000 in prize pool earnings with the placement. A total of 16 teams attended the tournament and Sentinels managed to reach the lower bracket semifinals and put up a solid fight against the eventual winners of the tournament, FaZe Clan.

But the successful results didn’t stop there. The Sentinels VALORANT team dominated the off-season compiling an 11-1 record, appearing in three show matches and two tournaments. In the AfreecaTV Valorant League Tournament in Korea, the team managed to take down the most dominant team in the Asia Pacific region, Paper Rex, to capture the tournament championship.

Most recently, Sentinels teamed up with ZOWIE to become the monitor sponsor of the organization. ZOWIE, renowned for its high-performance gaming gear, will work closely with Sentinels to introduce innovative products designed to elevate gaming performance.

Also during the year, Sentinels partnered up with ADVANCED.gg; a performance supplements company that caters to the gaming and lifestyle communities. The pairing oversaw the successful release of ‘Sentinels Hopium,’ a raspberry lemonade-flavored energy drink that has been a successful hit with fans.

Overall, Sentinels had plenty of exciting moments, and the future looks bright for the organization. Our long-term goal is to become the number one Esports brand in North America and we believe that 2024 will mark a significant milestone to that achievement.

Fans of Sentinels have a lot to look forward to. The VALORANT team, especially, looks poised to continue their successful form in the off-season and translate it to compete at international tournaments eventually. We believe the introduction of in-game team-branded capsules via developers Riot Games will act as a significant revenue stream going forward.

But none of this would be possible without the fans. Thank you for being a part of the organization's journey.

Sentinels victorious at AfreecaTV VALORANT League!

We've continued our ten-game off-season unbeaten streak following a Championship win at the AfreecaTV VALORANT league tournament, which saw Sentinels take down the runners-up of Champions 2023, Paper Rex, 3-0 in the grand final.

We have been the most active team from North America during the OFF//SEASON, competing in three show matches, one regional tournament, and one international event. At the AfreecaTV tournament, which concluded on December 10, the VALORANT team beat Paper Rex, twice, DRX, and Team Liquid to win the trophy.

We accomplished this against a stacked field that included some of the most accomplished organizations in the world throughout 2023. Sentinels took down not just one, but two Champions at the tournament. Team Liquid and Paper Rex were the victors of the respective regional leagues in EMEA and the Pacific region. Korean-based team DRX is also known for its long-term dominance in the country. The team also finished second in the VCT Pacific regional and third in the VCT LOCK//IN event in Brazil.

The victory over Paper Rex in the grand final marked the tenth win in a row for the Sentinels VALORANT team, which during the off-season brought in Mouhamed “johnqt” Ouarid as the in-game leader and Jordan “Zellsis” Montemurro as the super “sixth man.” Sentinels have yet to drop a match with Zellsis in the starting roster.

To celebrate the victory, Sentinels has brought back the fan-favorite Championship jacket to the Sentinels shop, which is available for pre-order at shop.sentinels.gg. Due to the quick turnaround, the jackets will be shipped from mid to late January.

We won the Sentinels Invitational powered by StarForge Systems!

Today we wanted to congratulate our VALORANT team for emerging victorious at the Sentinels Invitational powered by StarForge systems, which was held at the Sentinels offices in Los Angeles over the past few days.

The Sentinels VALORANT team took down Oxygen Esports in the grand final 2-0 to win the tournament after a hard-fought best-of-three match. There were plenty of great moments with different players being called up to take part in the tournament.

Our Invitational run began with a victory against Moist x Shopify followed by two victories against G2 Esports and Oxygen Esports. The team got some practice against a future opponent, as G2 Esports will compete in the VALORANT Champions Tour Americas next year.

With Oxygen Esports emerging victorious against G2 in the lower bracket final, there was only one roadblock left for Sentinels to take down. After a tense back-and-forth between the two teams, Sentinels came out on top. As a result, Sentinels finished the tournament with a flawless 4-0 record.

The Sentinels Invitational was a success with different features such as a live listen-in, a replay, and rewind system, and Sentinels fans got to watch the team play in-person at the offices in Los Angeles.

Once again, congratulations to our VALORANT team: Mohamed “JohnQT” Amine Ouarid, Bryan “pANcada” Luna, Tyson “TenZ” Ngo, Zachary “Zekken” Patrone, Gustavo “Sacy” Rossi, Jordan “Zellsis” Montemurro, head coach Adam Kaplan, and assistant coach Drew Spark-Whitworth

Today is the last day to invest in the Sentinels public listing on StartEngine

Later today the public listing of Sentinels, which allows fans to invest in the brand for rewards and an ownership stake in the company, will close. We’re giving fans one last chance to invest in the brand they love, so let’s make it count.

Since we listed on StartEngine, we’ve raised over $188,527 with 109 different investors, which is a testament to the strength of the brand and the belief that the Sentinels fans have in our company.

We’re making strides to reduce the monthly burn rate of the company, which is now projected to improve to $300,000-400,000 over the next six months. The ownership group has invested an additional $3.4 million in capital, alongside a string of other successes.

Our Halo team finished inside of the top four at the World Championships last month, earning $70,000 in prize money. Also, the Sentinels social media team managed to make the organization the most interacted brand in the VALORANT Champions Tour Americas on Twitter this year.

This is the last time you can invest in Sentinels, so make sure to go through StartEngine and select from the different options to receive rewards and obtain an ownership stake in the company.

We’re only getting started. This is where Champions are made.

A SENsational year for Sentinels, explained with stats

Today we are excited to reveal some notable statistics regarding our social media presence this year. We managed to surpass all other organizations that field VALORANT rosters in the Americas league. All data can be found here

For the year to date 2023, Sentinels grew at the fastest rate compared to all other organizations in the Americas VCT with a 12% increase in followers this year followed by LOUD with 7%. In addition, Sentinels achieved the highest engagement rate on Twitter. This engagement rate shows how successful each post is in getting users to retweet, comment on, or like the post.

This shows that Sentinels is the most-interacted brand in the VALORANT Champions Tour Americas on Twitter. Our stellar social media team consistently promoted the brand and it’s key to the strategy of creating the most popular brand in esports.

10.31.23

Sentinels monthly burn rate projected to improve from $695,000 to $300,000-400,000 over the next six months

Today North American esports organization Sentinels has announced the projected burn rate is expected to reduce significantly following industry-wide reductions in player compensation and increased revenue generation from existing partnerships.

Sentinels, one of the largest esports organizations in North America, projects the burn rate will reduce, which is the spending of capital reserves available to the company. Sentinels are projecting the burn rate will change from approximately $695,000 per month to between $300,000-$400,000 per month for the next six months.

The expected reduction in burn rate is a direct result of industry-wide reductions in player compensation, and the impact of the full-year benefit of the VCT partnership with Riot Games. The future burn rate could be positively affected by the launch of VALORANT team-branded in-game digital content which will launch in 2024.

Also, the company has announced an additional $3.4 million cash injection. With the additional funding, the company will now have capital commitments to fund a minimum of an additional six months of operations. The ownership group will remain ready to invest further capital if necessary.

Sentinels CEO Rob Moore said, “We have worked hard to ensure that the burn rate is lowered to continue our efforts to become a profitable esports venture. We want our fans and the wider esports community to know that Sentinels will not be going anywhere.”

Hello. Quick question for Rob Moore, Esports is said to expect a 318.6% increase in market value ($1.72B to $5.48B in 6 years from now, +$626.6M/yr). What trend do Sentinels see, in comparison to Esports, over the next 6 years? Obviously, SEN is a small part of the Esports sector so I do not expect numbers anywhere near these, but are the relative projections similar? If not, (better or worse) what numbers do we have?

Hey there, I have a few questions. 1) Given the recent injection of $3.4 million from the ownership group, do you plan on extending the crowdfund to allow more fans to invest knowing that the company is financially stable? 2) What are some verticals that you think within the esports, creator or overall gaming space that Sentinels is considering moving into that will improve revenue, create strategic value, etc.

Hi there - what is your most recent monthly burn rate and cash on hand? Additionally, are you raising a parallel angel or VC round simultaneously? If yes, who is investing in this round?

Hi Theodore, thank you for the question. As noted in our publicly available SEC Filing: Offering Memorandum: Part II of Offering Document (Ex. A to form C), our current monthly burn rate is $695,000. We project the burn rate to decrease in 2024 if the advertising market rebounds and we are able to maximize the sale of in-game digital goods. Regarding your second question, Sentinels is in the process of formalizing the long-term funding plan.

Not to be critical, but your losses are staggering: net loss of over $6M in '21, and another $8M in '22 (coinciding with a burn rate of almost $700K per month...) I understand that most of this is salaries, but (a) how do you plan to reverse this trend, and (b) when do you anticipate becoming profitable?

Sentinels

Hi Kevin, thank you for the question. We are a relatively young company in North American esports. We needed to achieve scale to compete with the larger, more established competitors in the space. According to Crunchbase, a number of our biggest competitors have raised and invested between $80-120 million to fund their growth. Since our inception in 2018, we have invested approximately $25 million. Since the start of 2021, Sentinels have gained the most Twitter followers (total followers now 950k) and one of the most YouTube subscribers (total subscribers now 699k) of any organization in North America, giving us what we believe to be the scale and reach to compete with these companies and substantially increase revenue. We are hopeful that we can translate this increase in reach into substantial revenue growth that could lead to breakeven by 2026.

FAQS

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System (“ATS”) operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board (“SE BB”) is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
