A convertible note offers you the right to receive {security_name} in Handheld Biometric ID Wallet. The amount of {security_name} you will receive in the future will be determined at the next equity round in which the Company raises at least $1,500,000.00 in a qualified equity financing. The highest conversion price per security is set based on a $5,000,000.00 Valuation Cap or if less, then you will receive a % discount on the price the new investors are paying. You also receive 10.00% interest per year added to your investment. When the maturity date is reached, if the note has not converted then you are entitled to receive {security_name} equal to your investment and interest back at a price per security determined by dividing the Valuation Cap by the aggregate number of outstanding equity securities of the Company as of immediately prior (on a fully diluted basis).

What happens if you store all ur info credit cards, i.d. on this biometric wallet, you don't have any cards or I'd on you physically, just electronically, & the biometric id wallet breaks or stops working. Then how would you use your credit card or show your i.d.? If you drop this biometric card in water, is it water proof

Hello Joseph, I have a few questions regarding the wallet. 1. Will there be an option to wipe the data clean that is stored on the wallet in case of theft or misplacement (even though it has a GPS tracker)? 2. How will Emergency personnel gain access to your medical records? Along with medical records, will your SS# will be stored in this section as well? 3. What do you project to be the estimated battery life of the stand alone wallet? For the wallet that can be attached to a cell phone, will this have its own power source or will the cell phone battery power the wallet? In your vision, how is the wallet recharged? 4. As far as GPS tracking, would tracking be initiated after loss or theft or will tracking be "on" all the time? 5. And to piggy back off of John's question, will we be able to add paypal, venmo as options for payment to the wallet? Thank you for your time and vision. I look forward to your responses.

James thank you for you great questions 1) The biometric wallet is self contained, it is designed for biometric key entry any non authorized attempt to obtain access would ignite the tampered lock feature. 2) For all immediate medical information such as current medications and immediate allergy threats and things that would need to be accessed by emergency personal will be 911 key entry that bypasses and is stored in a completely partitioned sector of the wallet same for all banking and any personal private and sensitive data would be. 3) The biometric wallet is being designed with power saving ability and sleep mode when not active and because the operation access is extremely fast it will be expected to last for up to 72 hours and possibly more. when we go to the cell pack it will share in battery only no cross of any data of any kind. This is upcoming once the retail marketplace and cash ATM machines are compatible to our Bio-Pay technology. 4) The GPS tracking will be on an individual desire based on particular situation. If I gave one to my 90 year old dad I may want permanent tracking for health reasons or if I don't want permanent tracking on as needed bases. Or lets say the biometric wallet becomes adapted as a new standard for Identity security and I am here on a visa I have overstayed I can be tracked. 5) The payment process has many options and yes some companies will want to adapt to the biometric authorization for high level security. In addition the biometric wallet will also act as your personal processing account allowing you to accept cashless payment or a cash advance through your own banking methods and a slim card accessibility for the older business that are still using old technology. Thank you for your question Our product is much more than just the patent for the Bio-Pay, and approved months prior to Apple our attorneys and Apple's have had many conversations of infringement. The US patent office has fined them many times on other infringements they have lost millions. Second our technology of biometrics is at a superior level of internal security that is not stored in an Apple cloud, or that has ability to be hacked by everyone. If you look into understanding our real technology its obvious that there is no comparison. Identity stored on your cell phone or transacting credit card transactions on open architecture is stored. Ask Apple they already have over one million stored credit card numbers of individuals this questionable compiling of personal information is of concern. As we have many engineering proposals from accredited companies they refer to this Wallet as a cell phone on steroids with nothing to compare it to.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
