We are a company founded by and for people who are passionate about the environment. Our senior team has decades of successful start-up and senior management experience in recycling, marketing and financing. Founder Mitch Hecht spent 15 years on Wall Street, 
was the Chief Financial Officer of a Fortune 500 company up to 1 year prior to the company’s eventual IPO in 2004. He has spent the past 14 years in plastics recycling developing aspects of the newBin system.



THE PROBLEM


Recycling isn’t straightforward

Only half of U.S. households have access to curbside recycling. Waste collection companies are charging ever-higher collection fees for recycling, leading many cities to cut back or end their recycling program altogether. Residents don't have control over whether their city provides recycling services and they don't have confidence that their recyclables won't end up in a landfill.


Even if curbside recycling is offered, residents have little confidence that the waste is actually being recycled. Waste collection companies limit the materials they will recycle.



THE SOLUTION


Using technology to simplify the process

newBin uses technology to provide a free, more effective recycling option. Once the app is completed, users - we call them Binnies - will be able to request a recycling pickup from the app. A newBin team member - we call these heroes our Binners - will pick up items and drop them off at newBin container locations. We do the sorting and Binnies receive Eco Rewards for their recycling - redeemable for discounts at local grocery stores, gas stations, and other participating retailers.

We don't charge our Binnies a penny, we generate revenues from:

  • Marketing fees paid by our corporate partners to drive Binners and Binnies to redeem their Eco Rewards for their products and services.
  • Collection fees paid by commercial and institutional customers to collect waste plastic from their stores or institutions.
  • Service fees charged on every redemption of Eco Rewards.
  • Tipping fees paid by municipalities based on savings versus traditional curbside collection.

Currently less than 9% of the 35.7 million tons of post-use plastic generated yearly gets recycled. That's due to a lack of access. Even where people can participate, only about 40% of the material deemed recyclable makes it into the recycling bin. We are ready to disrupt this model making newBin an impactful and profitable investment.

We offer free, on-demand collection of all plastic waste and promise a reduction in landfill. We'll take care of the sorting, which increases recycling participation, and set out to collect the 90% of post-use plastics being left behind by traditional waste collectors. It’s with deep sadness that I have to report the newBin company is ceasing operations as a result of dramatically changed and unforeseen political and economic changes since the startup of the company 3 years ago.

 

newBin was intended to disrupt the traditional and inefficient curbside recycling collection system by tapping into a new and growing market for recycled plastics that would expand beyond the drink bottles and milk jugs collected now.

 

The foundation of this expansion of plastics recycling was increased investment in large-scale plastics recycling plants, such as International Recycling Group’s mega-plant scheduled for build in Erie, Pa. IRG’s plant, and others like it. The new plants would be able to sort more materials from homes and convert more plastic into resins for new products, creating a dynamic market for previously unwanted post-use plastics and driving the economics of newBin’s collection system.

 

However, with a change in government came a reversal in support for funding for recycling as part of the Administration’s policy of “terminating the green new deal” as stated in President Trump’s Executive Order M-25-11, signed on January 21st of this year. In addition, consumer products groups have been reversing many Environmental, Social and Governance (“ESG”) commitments made in recent years in order to be consistent with trends they are seeing in government and society.

 

It is deeply unfortunate that the market for recycled plastics has gone into reverse instead of moving forward.

 

After initial capital investment from the Reg C offering was utilized to develop the newBin app and support early collection efforts—including deployment of receptables, collection and sorting—International Recycling Group advanced in excess of $54,642.62 after its initial $125,000 capital injection to continue funding the operations.

 

On April, 3rd IRG announced it had ceased operations due to a lack of resources as stated in its press release which is attached.

 

Over the past two years, newBin has expanded access to recycling for underserved communities by partnering with non-profit organizations, community centers, and small downtown businesses, serving more than 15,000 households across Erie and its surrounding neighborhoods.

 

Our mission went beyond environmental impact—newBin created meaningful employment opportunities, hiring over 12 at-risk youth at $15 per hour to assist in collecting, sorting, and processing recyclable materials. By combining environmental action with economic empowerment, we aimed to reshape what local recycling can look like.

 

While this news is extremely disappointing, I would only ask that what you risked by your investment has already made a significant impact on the lives of young people and created an example for how recycling should be done in the future.

Plastics recycling is dependent on public policy decisions, including continued federal and state financial support. newBin’s collection service has, since its inception, been receiving financial support from International Recycling Group. 

 

Due to uncertainty related to continued support by the federal government, we have had to put all collection activities on hold for the time-being.

Q4 Investor Update

At newBin, we’ve been delighted by the enthusiasm the Erie community has shown for our program and the need for effective plastics recycling in general. In terms of cashflow, we’ve maintained an overhead of about $1600 for last quarter’s residential collection services, which we estimate will rise to about $4000 once our commercial collection services are fully operational. We are actively controlling costs while preparing for this service line expansion. On the team front, our eyes are directed by Community Development Director, Chris, who has been overseeing a talented corps of collectors, sorters, and campaigners. Notably, we've expanded our recycling collection into Greene Township, marking our first drop-off cart outside of Erie’s city limits. We are currently looking for new team members to stay ahead of our increasing user base.

Turning to our future plans, the immediate goals include procuring a new drop-off cart for servicing the western side of Erie and increasing the number of app users. Another major focus is transitioning to profitable commercial collection from businesses, supplementing our free residential collection program. We are also committed to promoting the importance of recycling within the community, including public events and social media.

But our approach to banks and VCs is very cautious and driven by a balance between absolute need for funding (our budget), and preventing serious dilution of to current shareholders to the greatest expense possible. What are the long term plans to address the needs in the non recycling friendly states (e.g. Tx) where there are high volumes generated with little government financial incentive to recycle plastics, few collection centers and near zero actual companies making the collected plastics into reuseable. tangible products?

Great comment. We're actually ideal for those states that are not fans of taxpayer-funded recycling services and lack bottle deposit redemption schemes. The beauty of our system is that we work with communities to educate households about the importance of recycling, instead of charging for the service we actually provide a financial incentive to help recycle, and we make it as simple as possible. We're not dependent on any government incentives. We believe this will actually motivate elected representatives who are seeking a business solution vs. taxpayer-paid to support and promote our curbside system. Our revenues come from our corporate partners looking to do their part to support recycling. This is a major monetizable trend that is only growing as customers and stockholders demand environmental stewardship. In terms of closing the loop, the sorted waste plastics travels efficiently throughout the US in 1,000-lb compacted bales to reach recycling processors and ultimately manufacturers of plastic products utilizing recycled content. You can rest assured that virtually all the material we collect will find a recycling home. The technology is there and the material is in great demand. Thanks, Michael. There are multiple channels for revenue in the model. For our residential pickup service we are monetizing marketing agreements with companies that are interested in selling goods and services to our prospective user base. This is door-to-door marketing in the community. These companies pay a fixed rate per bag collected for the right to engage their rewards programs to our user base and push down ads and coupons on the app. For institutional and commercial customers we take a fixed cash rate per bag. This might be at a premium to regular waste disposal, however it provides food chains like McDonalds and Starbucks a sustainable plastics recycling system for their stores which doesn't really exist today. We expect to receive fees on redemption of rewards at the marketing partners. We will get cash or in-kind collection fees from municipalities to replace their current costlier and ineffective curbside collection. Finally, we will get revenues from selling the recyclable material to recyclers. I hope this is better clarification. And thanks for your question and interest, Michael.

Here is part of the problem in CA https://www.calrecycle.ca.gov/bevcontainer/bevdistman/plasticcontent/ Assemble Bill 793 is nothing more than a "slap on the wrist" for the beverage industry. If local governments would mandate the full CRV "redemption" and your Gig platform was linked up to this full redemption, perhaps ROI would encourage network participation at a scalable level. At 5-10 cent per container with some type of crushed container bin. A bag of 100 10 cent plastics would be $10. Just a thought.

Good suggestion. The problem is the Recycling Environment Penalty Account will undoubtably be mismanaged. City collection systems are tied to the oligopoly of waste companies that manage curbside recycling PLUS own the landfills (a direct conflict of interest). It is not a situation of the fox guarding the henhouse. It is the fact that the foxes are asked to design the henhouse and will be paid by the penalty funds for their efforts. There is no reason that virtually all of the plastic cannot be recycled. Not just bottles. Forgo penalties and deposits into a "fund" that gets misapplied to the existing players-- all of whom are incented to keep the status quo-- and pay folks a living wage to collect and sort everything.

Why is California considered environmentally responsible? We PAY 5-10 cents per bottle yet we don't have an effective redemption programs. Now we also pay for plastic bags too. In other States and other countries, redemption is redeemed by the store that collects this . Perhaps this could change our inefficient process that has continued to fail the reduction of plastic waste?

You're exactly right, Douglas. Without a robust redemption infrastructure, what ends up happening in bottle bill states is that a system of grey market scavengers are relied upon to collect and transport the materials to redemption centers. These scavengers are almost always dependent upon "organizers" who pay them far below minimum wage to move the materials on. States look the other way when it comes to the scavenger system in order to hit recycling targets. In addition, deposits only relate to containers, which is a fraction of the post-consumer materials threatening the environment. Does not apply to other food grade items like cups, trays, lids, single-use bags, etc. And the "penalty" for companies not complying with Bill 793 comes out to around 0.4 cents a bottle. The increasing content requirements will not be met-- just like renewable fuel mandates were never reached-- until we have a serious collection infrastructure that is convenient and easy to use, and verifiable in outcome.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
