OVERVIEW

A one-of-a-kind fine art company

Foundry Michelangelo is a profitable fine art company that casts and creates some of the world’s finest bronze, pure silver, and gold sculptures. Our products are sold through the nation’s top fine art galleries, and our incredible business model has six powerful business lines with our auction model being the keystone of our business. Based on our research, we are one of the largest master mold collections in the world containing approximately 2000 original master molds from 230 of the most famous artists in history including Michelangelo, Bernini, Canova, and many others.

A Statista marketing report valued the global art market in 2020 at $50 billion U.S. dollars. It should be noted that 2020 was an incredibly slow year for the global art market, which exemplifies the broad profits generated by this industry. Foundry Michelangelo seeks to make an impact in this industry by leveraging our massive catalogue of master molds of classic sculptures to sell high-end reproductions.

We’re one of the only vertically integrated fine art companies in the world, and our multidimensional business model gives us a competitive edge that no other fine art company on the planet has. Our foundries, molds, and talented artists allow us to cast, create, and sell reproductions of classic sculptures in a variety of materials in an array of sizes.

THE PROBLEM

Fine sculptures aren't accessible

Simply put, people love sculptures. Their inherent tactility creates a more immersive experience that people have loved and appreciated for thousands of years. Sculptures have immortalized people, events, and ideas since their inception; they are the literal embodiment of artistic expression.

Despite being one of the most popular art forms in history, sculptures aren’t as accessible as their two-dimensional counterparts. The scarcity and exclusivity of classic sculptures lends to their value, but it also makes them far less accessible to everyday people. Unless you’re Pope Francies, the chances of an everyday person to be able to view and appreciate a classic sculpture are slim.

THE SOLUTION

Create fine art on a global scale

Foundry Michelangelo not only owns the largest sculpture mold collection in the world, but also we own the foundries that produce the highest quality bronzes in the market to ensure that each of our sculptures is made with the utmost integrity. As a vertically integrated company, we own the foundries that produce the bronzes, the original castings for the statues, and they cast the sculptures themselves. Essentially, we are able to guarantee a level of transparency and quality that no other foundry can match on the planet. Moreover, our massive catalogue of master molds enables us to reproduce and distribute classic sculptures on a scale that has yet to be seen. For the first time ever, classic sculptures can be accessible and appreciated by the masses on a global scale.

Our unique business model has multiple profit centers anchored by our charity auction where we place our sculptures in the gala fundraising auction events and share in the revenue. Despite being a new company, our artwork is already placed in 38 of America’s most premier fine art galleries, and we plan on growing our gallery network to over 100 locations within the United States and 50 Internationally.

The Precious Metals Division of our company has rapidly grown over the past few years and is where the company will be casting the largest pure silver sculptures in history. The company also has the ability to create and cast sculptures in bronze and stainless-steel as well as precious metals such as pure silver and pure gold. Lastly, our Art Leasing Division allows us to lease sculptures for display at a fraction of the purchase price allowing the Foundry Michelangelo to generate recurring revenue while still retaining ownership of our assets.

THE MARKET

Fine art meets vertical integration

We pride ourselves in being artistic trailblazers, so it only made sense to create a business model that reflects our uniqueness. What separates us from our competition and others in our space is our ability to not only create bronze sculptures but stainless steel, pure silver, gold, resin, and other mediums. From creating the bronzes, to casting the sculpture, to selling our artwork, Foundry Michelangelo is an all-in-one destination for any sculpture.

Our master molds give us an incredible scope of classic sculptures to cast, and our master artists can recreate them the way their original creators envisioned. Our catalogue contains approximately 2000 different pieces from 230 of the world's most famous artists to include works by Michelangelo, Bernini, Cellini, Canova, Charles Marion Russell, Frederic Remington, and others. The combination of our robust catalogue of master molds and our eight foundries gives us the ability to recreate famous sculptures in an array of materials in whatever size the buyer desires. The pieces we have range from just a few inches to some of the largest sculptures in the entire world measuring up to 70 feet.

Through our Monuments Division, we create custom commissions for individuals, artists, businesses, museums, galleries, and government projects from life size sculptures to master works reaching heights of 70 feet. This division allows us to maximize our foundries so we can create custom pieces outside of our master mold collection

OUR TRACTION

Profitable in the face of the pandemic

Foundry Michelangelo’s revenue stream started right away in 2017 with $391,650 in sales. In 2018, we achieved sales of over $1.1 million, $2.1million in 2019, and in 2020, Foundry Michelangelo produced $2.4 million in revenue, thus we believe cementing our status as a pandemic-proof company. We will also be opening our Innovative Art Leasing Division for high end sculptures in the fourth quarter of 2021. This welcomed addition will add yet another dimension to our unique and profitable business model. The Company achieved its first profitable year in 2020.

In the span of five years, Foundry Michelangelo has grown from just one location to displaying our fine art images in 21 of the Nation’s most prestigious fine art galleries, with another 17 locations and counting currently waiting for inventory and display samples. In 2018, Foundry Michelangelo cast a masterpiece of an eagle by Lorenzo Ghiglieri entitled The Presidential American Patriot in 1,000 troy ounces of pure .999 fine silver creating the 'Silver Edition' for this piece. The masterpiece is a limited edition of only 10, priced at $200,000, and completely sold out.

We are now planning to create the single largest pure silver casting, containing over 1,130 pounds of pure .999 fine silver. The image is the life size Pietà by Michelangelo and will be the only one ever created by Foundry Michelangelo. It is a testament to our ability to cast and create masterpieces in pure silver as well as our prestigious mold collection, which separates us from any other fine art company.

WHY INVEST

Redefining the fine art industry

Our vision at Foundry Michelangelo is to become the leading provider of high-end fine bronze sculptures throughout the world. With our foundries, collection of master molds, and network of galleries, we believe we are in a position to produce and sell our high-end sculptures on a massive, global scale.

As a shareholder of Foundry Michelangelo, join our artistic revolution the company’s six business lines that are redefining the fine art markets.

You mentioned 2 possible successive campaigns, in progressively larger amounts, following this, and then a move toward an IPO, which is essentially another fund drive. You have a unique product, an impressive record, a profitable, diversified business and accelerating revenues. Why the need to bring so much cash into the business? I apologize if I missed it, but I didn't see anything on the purpose of the fund drive. If I were sitting on the Shark Tank panel, I'd be saying, "You don't need my help." What is the influx of funds going to do, that just continuing your present course can not?

Hello Jim, Not sure about that, as the shares you purchase now would have to be liquidated to repurchase the shares upon an IPO. I don't think the shares that you purchase now will be able to be used to repurchase shares later. Thank you for the question.

Hello Foundry, As mentioned below, I don't like the multiples of revenue that the company is being evaluated for. As Joshua S said below, you are going to have to do something more creative than just having the master molds. Master molds for the "old school avid art collector" are still replicas of the original art and the younger art collectors earn for something more than just Art. NFTs might be one of many possible ways to go about it. Maybe join NFTs and -as much as I hate saying this..- virtual reality. Etc.. Best regards, Miguel Costa

FAQS

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.

StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System (“ATS”) operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board (“SE BB”) is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
