Plasma is the Challenge


Fusion energy has long been promised as the ultimate, unlimited clean energy technology for the planet. However, reliably forming and controlling plasma to drive a successful fusion reaction is difficult and expensive. Plasma is the critical component of a fusion power plant, but a burning fusion plasma is extremely difficult to produce, maintain, and safely control in a steady state. It is a complex startup process that also requires high parasitic power requirements.

THE SOLUTION


The Proof is in the Plasma


NearStar Fusion is developing a power plant design with the goal of producing plasma consistently by leveraging successful plasma research using commercial technologies and a simplified design. 



Hypervelocity Gradient Field Fusion (HGFF) is driven by a proprietary hypervelocity fusion fuel launcher to increase power plant reliability and overall efficiency. HGFF is a pulsed fusion energy approach which does not require complex plasma containment and control equipment.

First generation NearStar Fusion power plants will initially be fueled by deuterium-tritium (DT) fuel, the easiest fusion fuel to burn. Deuterium is readily obtained from seawater, while tritium can be produced as a byproduct of fusion power plant operations. The modularity of the power plant design will enable scaling and low-cost next generation performance upgrades. These upgrades are intended to allow use of advanced fusion fuels which would dramatically reduce the operational and maintenance costs of HGFF power plants.

NearStar Fusion Inc. is a new, separate company spun out of HyperJet Fusion Corporation with the same team members. The 10% StartEngine Owners' Bonus

NearStar Fusion Inc. will offer 10% additional bonus shares for all investments that are committed by investors that are eligible for the StartEngine Crowdfunding Inc. OWNer's bonus.

This means eligible StartEngine shareholders will receive a 10% bonus for any shares they purchase in this offering. For example, if you buy 100 shares of Common Stock at $10.00 per share, you will receive 110 Common Stock, meaning you'll own 110 shares for $1,000. Fractional shares will not be distributed and share bonuses will be determined by rounding down to the nearest whole share.

This 10% Bonus is only valid during the investor eligibility period. Investors eligible for this bonus will also have priority if they are on a waitlist to invest and the company surpasses its maximum funding goal. They will have the first opportunity to invest should room in the offering become available if prior investments are canceled or fail.

Investors will only receive a single bonus, which will be the highest bonus rate they are eligible for.

I think that everyone either is or should be very excited about the prospect of fusion energy! I have a very limited understanding of what you are attempting to accomplish, but my basic conclusion is that you hope to create a more efficient and less complex design compared to other designs that are much further along in R&D and funding. My question is about additional funding rounds you would need in the future to continue development. How far would 50% of your maximum goal sustain you? And what catalysts do you feel you might attain to generate future interest and funding?

Also, thank you very much for giving us individual investors an opportunity to be a part of your journey at a fair & an attractive valuation. I am aware of another fusion startup (LPPFusion) who recently completed a financing round at another crowdfunding platform. I don't have the domain knowledge to be able to compare the differences in approaches between the two companies. However, I'd like to ask where you are in terms of delivering a viable commercial product with respect to other firm(s). While there could be multiple winners in this space, the leading company may potentially reap larger economic profits from an innovative solution. Thanks in advance for your time & response.

I am fully confident of your railgun technology's ability to provide acceleration. Indeed, the railgun is an elegant method of adding energy to your fuel. The vessel where the fusion occurs with liquid salt flowing through it, strikes me as an extremely hostile operating environment. 1 What stage is your engineering for the magnetic coil which will compress the fuel to spark fusion? This seems to be a significant engineering bottleneck and it's not clear that your team has the skills to design and build such a device. 2 Your presentation mentions adoption of other more efficient and economical fuels than deuterium and tritium. What are these alternatives? Are you considering a carbon cycle fusion?

I am always skeptical when I hear of fusion reactors and this is no exception. My questions: 1. Where does the starting energy come from to initiate the fusion reaction? 2. How much energy do you put in at the start to fire the Hydrogen/Heavy Hydrogen capsule? 3. How much energy do you produce from each capsule cycle? 4. Given that the advanced economies are moving away from fusion reactors (Germany most notably) where will you get a continuous supply of Heavy Hydrogen as a fuel source? 5. It seems to me that a fusion reactor as a propulsion source will still work according to Newtonian principles (to move forward you must leave something behind or action/reaction). This then becomes just as limited as chemical fuels we have today, not so?

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
