REASONS TO INVEST

Reasons Icon

Eventnoire is here to eliminate the clutter of oversaturated, uncultured platforms, and reward event curators and creatives for pushing the culture forward.

Reasons Icon

There are over 47 Million black people in the U.S. who over index when it comes to setting the trends in fashion, sports, music, and entertainment. This group also will have an estimated $1.8 Trillion in buying power by 2024. But the opportunity is bigger than the Black community with culture influencing every aspect of society, every demographic, and every race. Due to the lack of culturally relevant events, paired with post-pandemic growth in the event industry - we are carving out a niche in the $94 Billion global ticketing industry.*

Reasons Icon

We are in over 21 markets globally, have worked with over 2,200 event partners, processed over $4.6 Million in transactions, and won first place in Mountain Dew’s 2021 Real Change Opportunity Fund Competition and the second annual BLK Tech Pitch Competition hosted by 1871.

the pitch

Eventnoire is the premiere event platform for event planners, organizations, and marketers that celebrate and embrace culture. Our team is equipped with MBAs, J.D.'s, eventrepreneurs, web developers, and more than 50  years of combined event management experience. We deeply understand the event ticketing industry, and what Black curators want in this space. We have worked with 2,000+ event organizers and processed over $4.6 Million in transactions via our platform. We have generated $400k+ in ticket fees and recycled tens of thousands of dollars  into organizations and event hosts supporting the Black community.

Eventnoire: Where Culture & Events Intersect

Culture is one of the most powerful forces known to man. Bringing people together from all backgrounds, celebrating our differences, and building community is at the core of our mission, at Eventnoire.

Our co-founders, Jeff Osuji and Femi Masha, created Eventnoire after identifying the need for a platform where individuals can easily discover and navigate entertainment opportunities that embrace Black people and culture.

Eventnoire offers software solutions for event registration, event management, mobile apps for events, and email marketing. Our unique platform serves as a resource for event hosts to monetize their influence and receive commissions from ticket fees.

The Problem & Our Solution

Eventnoire offers end-to-end event management solutions that support the creator community as well as community orgs and will connect brands to unique sponsorship opportunities.

Our co-founders are veteran event organizers. They discovered that it can be extremely difficult to be profitable when hosting events, and that most ticketing platforms collect a large portion of the service fee without giving back to the event host. Not to mention, general market media platforms  fail to understand how people of color uniquely navigate the event landscape based on issues that face our community.

Eventnoire has capitalized on these shortcomings in the market filling a white space. We aim to change the industry for individuals and organizations that have a keen focus on connecting the world and Black diaspora to Black culture-centric events. We have created a culturally immersive space for lovers of the culture to discover life changing experiences, and reward event curators by recycling ticketing fees into our community.

Our business model is simple - Eventnoire collects 17% for all paid transactions on our platform. In 2023 we plan to roll out media offerings brands and organizations through Eventnoire Premium. Eventnoire Premium is under development, but our vision is that this will be a subscription-based offering to support our event curators,  with white glove services and sponsorship support.

*Advertising and subscription plans are currently under development, and are not yet part of the services Eventnoire is offering

The Market & Our Traction

We are creating a niche in the global market for online event ticketing that is estimated to reach ~$94 Billion by 2025*

Due to the lack of access to culturally relevant events, paired with post-pandemic growth in the event industry, we are carving out a niche in the global ticketing industry, which is growing at 7% CAGR (source). Additionally, the event management platform market size has been valued at $31.23 Billion in 2022, expecting to reach $60.01 Billion by 2028 (source).

There are over 40 million people in the U.S. Black Diaspora, and Eventnoire is focused on the $31 Billion that Black consumers spend on events annually.**

Since launching in 2018, Eventnoire has made notable strides of growth in the industry. So far, we have worked with 2,200 event promoters and organizers, have over 200,000 registrants, and we have doubled revenue since last year with expectations to triple in 2023.

$4 Million worth of transactions have been executed via our platform, and we have generated $400K+ in ticket fees. Of the revenue we have generated, we have committed to our mission and recycled over $20k+ back into event organizations and Black communities.

Our team won first place in Mountain Dew's Real Change Opportunity Fund Competition through multiple rounds of pitching our business model and concepts. This was judged by DJ Envy, Lala Anthony, and Morgan DeBaun, and has been a significant milestone for our company.

Additionally, Eventnoire has been recognized by the BET Awards, Forbes, Essence, Afrotech, ABC7, and BizBash, and provided ticketing services fort the Hyde Park Summerfest as the Eventnoire app was used for a seamless check-in process for their 20k attendees.

*The above testimonials may not be representative of the experience of other customers and is not a guarantee of future performance or success.

**Total amount spent by Black consumers is based on research data collected by Eventbrite and the Company's own internal calculations.

Why Invest

Eventnoire is a solution that we believe the world needs. Our platform is creating a safe space in the event sector for Black communities to connect and celebrate. Backed by 50+ years of combined event management experience, our team understands what it takes to build a profitable business. We are humble and hungry to deliver on our mission and the success of Eventnoire.

Using our resourcefulness, scrappiness, and grit, we were able to develop and grow this company despite the challenges of the COVID-19 pandemic. Now we are equipped with significant traction, and a niche market sector to carve into: we believe it’s only up from here.

what are your plans for an exit strategy for investors

Great question Jairus! As Eventnoire continues to grow we look at us being a valuable asset and target for acquisition for larger event management platforms, media companies, or brands looking to increase their penetration to trendy and influential consumers as well as active event goers. We are already speaking to certain media companies that focus on culture as well as popular event ticketing platforms about potential synergies and in the future we see this as our path to an exit. Please feel free to reach out with any other questions.

FAQS

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.

These offerings are made through StartEngine Capital, LLC. Some of these offerings are open to the general public, however there are important differences and risks.

StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System (“ATS”) operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board (“SE BB”) is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
