The 10% StartEngine Owners' Bonus

Damping much??

Did you know that Nitinol is an excellent damper at baseline? as if Nitinol wasn't cool enough, this feature comes in very handy to reduce ski chatter in all the right places for a more enjoyable run.  The placement of Nitinol in the shovel of our skis allows for the reduction of unwanted chatter. Moreover, the control box in front of the bindings happens to sit on top of the ski's natural frequency node, which makes the run on the skis more pleasant. The level of stability and the absence of unwanted chatter are truly amazing when skiing on hard-pack snow with the skis on.

The Box that Does it All

The App that Makes it all Work

The app plays a key part in the design of our skis.  The app, communication through bluetooth with the skis, enables the skier to control the skis by reading temperature data from the skis and triggering a change in the Nitinol material phase. Moreover, the app receives data from embedded IMU sensors in the skis that provides key skiing info to the skier about their runs, without the need to wear special insoles in their boots or anything else.  This data can provide the skier with excellent feedback about their runs and areas that they can improve upon, or to gauge their performance in different settings. They can also get other data on their runs, such as speed, vertical drop, ski time... and communicate with friends.

How we get the Nitinol to Change Phase

We have talked about the magical properties of Nitinol and how changes in temperature can cause the material to change its mechanical properties. How we accomplish this is by using very thin heaters (almost 0.5 mm thick) to heat the surface of the thin Nitinol plates. Once the metal gets heated a few degrees, it goes through a phase shift, where its molecular structure changes, as shown below.  This molecular change results in increased stiffness of the plates and, subsequently, the skis. The shape of the Nitinol plates is such that they affect the torsional stiffness of the skis when heated.

Change Your Ski Rocker by 4 Inches

The other cool feature that we have developed is the ability to change your ski rocker.  This means you can change the ski length by 4 inches or so with the push of a button. Hello, Im just waiting the process to go thru and hopefully get 59 shares. Reading the brochure, are you going to make your own skis and/or sell/lease the technology to other ski manufacturers? How easy will it for them to install your tech on their skis? Would like some clarification on that. Do the skis change in real time or does the user determine before the run what the skis does in terms of stiffness? Have you done work on snowboards, only see skis? I would be very happy to try a pair if you need more testing done, LOL! I'm pretty sure I will buy a pair when they come out!!! Wishing you success, Nicolae

This is really interesting ski tech. Looking at your bios, I don't see where there is anyone involved with the company who has ski or snowboard design/manufacturing experience. Established ski manufacturers have R&D, which you appear to have, but not the experience. Am I missing something? Can you please explain how Verispellis would address this? Also, what are your plans for manufacturing? Outsourcing with a US partner? A European partner? Other?

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
