** Letters of intent do not create an obligation on the part of the customer to purchase an aircraft. Some or all customers might not transition to non-refundable purchase contracts until prior to aircraft delivery, if at all.  Aircraft customers might respond to weak economic conditions by canceling orders, resulting in lower demand for our aircraft and other materials, such as parts, or services, such as training, which the company expects to generate revenue. Such events would have a material adverse effect on LIFT’s financial results.

Flights in LIFT’s HEXA aircraft are in Beta testing and are not yet available to the general public.

THE PITCH

A Future Where Everyone Can Fly

For decades, science fiction has promised us “flying cars.” Recent technological advancements have made it possible to design a safe, simple, and inexpensive multi-rotor drone capable of human flight.

Flights in LIFT’s HEXA aircraft are in Beta testing and are not yet available to the general public.

LIFT Aircraft leverages distributed electric propulsion (DEP) technology, autonomous “fly-by-wire” flight control systems, and our patented design for HEXA, a personal drone anyone can fly for 1/10th the cost of a helicopter, with zero operating emissions.

Jeff Bezos onboard HEXA, alongside LIFT CEO, Matt Chasen. Jeff Bezos has no affiliation with LIFT Aircraft.

THE PROBLEM & OUR SOLUTION

Ground transportation is broken

The average American spends 54 hours stuck in traffic each year. Of these trips, 85% are fewer than 15 miles and 90% are single-occupant. (Source)

Helicopters are an alternative, but are extremely loud and expensive to operate, making vertical flight inaccessible to all but the wealthy. We believe these trips are, instead, best served by point-to-point flights in personal scale, hover-optimized eVTOL aircraft capable of taking off and landing virtually anywhere.

LIFT's first aircraft, HEXA, is an electric, vertical takeoff and landing (eVTOL) aircraft; a single-seat, hover-optimized, semi-autonomous personal aerial vehicle. HEXA makes flying so simple and inexpensive that almost anyone can experience the joy, freedom, and utility of personal, vertical flight. Designed to be the safest possible aircraft for short-range flights, HEXA was purpose-built for aerial micro-mobility.

Some eVTOL developers have winged aircraft capable of longer-range flights. Instead, we chose a hover-optimized design for enhanced levels of maneuverability, wind resilience, and redundancy. We determined the incremental time savings achieved with wings are not worth the safety tradeoffs.

HEXA safety features.

With 18 electric motors, a triple-redundant flight computer and a  whole-aircraft ballistic parachute, HEXA was designed for safety and is capable of speeds up to 62 mph, HEXA can fly up to 15 miles in 15 minutes.

HEXA's parachute is effective as low as 40 feet above ground level.

LIFT Aircraft has a fundamentally unique strategy in the emerging eVTOL industry, using the FAA's Part 103 "Ultralight" rules to develop an aircraft that can be rented to and piloted by anyone, with no pilot's license or FAA certification required.

LIFT is developing pay-per-flight "vertiport" locations where anyone can fly HEXA within geofenced, controlled flight areas. With highly automated flight controls, pilots are able to be trained in our VR simulator in under 30 minutes. Ground and flight control support is provided by our trained staff.

Concept of future landing site for LIFT HEXA on a parking garage rooftop. (digital rendering).

HEXA is modular by design. The cabin and landing gear can be swapped with any payload, enabling a variety of manned and unmanned applications, including heavy lift cargo and emergency response.

Prospective public agency use of various HEXA modular configurations (digital renderings).

Tested with the U.S. Air Force, HEXA's cargo attachment has a payload capability of 350+ pounds.

HEXA cargo attachment shown above is a prototype and is not yet available to the general market.

THE MARKET & OUR TRACTION

A projected $1 trillion market

The emerging Urban Air Mobility (UAM) market is predicted to be worth $104 billion in 2023 and $1 trillion by 2040. (Source

LIFT will first target markets that don’t require type certification, including experiential entertainment, projected to reach $12 billion by 2023. (Source, Source, Source)

WHY INVEST

The Future of Flight

Minimal regulatory barriers

HEXA is approved to fly in the U.S. under FAA Part 103, which allows us to launch pay-per-flight operations, no costly FAA-type certification or pilot's license required.

First to market

With flight testing complete, we believe we're ready for our commercial launch later this year. We expect to be the first to offer eVTOL customer flights at scale, and the first to develop a network of eVTOL vertiports for aerial mobility.

In production and ramping up

With 16 aircraft produced in the US under our partnership with Qarbon Aerospace, (a Tier-1 aerospace supplier that manufactures components for the V-22, F-35, and Boeing 767), LIFT has the capacity to double HEXA production annually.

Profitable unit economics

At our locations, we plan to offer introductory flights at a $249 price point per 8-15 minute flights and also offer memberships for pilots who want to fly more frequently, bringing the price down to as low as $49 per flight. Each aircraft in our fleet is expected to generate up to $1.3M per year in revenue.

LIFT has already signed non-binding LOI’s with partners to develop LIFT vertiports in two of the top 10 tourist destination cities in the world, which we plan to launch with proceeds from current financings.

We believe that LIFT Aircraft has the right strategy, technology, and team to lead in the emerging urban air mobility market. Now you can invest in the company that’s making the joy and utility of personal, vertical flight accessible to everyone - exclusively through StartEngine.

2023 Highlights: First Customers Fly!

IMPORTANT: Future investor and business updates will be shared directly to our own website subscriber lists. SUBSCRIBE HERE to ensure you receive future updates.

2023 was a banner year at LIFT with the world's first launch of eVTOL customer flights!

When HEXA and our pay-per-flight model was unveiled in late 2018, the response was incredible; advance flight reservations quickly sold out in multiple cities and waitlists grew to more than 15,000. We’ve heard you over the past 5 years - you’re excited to fly!

The wait is finally over. In Q4, we invited our first customers from our Austin waitlist to fly HEXA as part of our “soft launch.” Later this month, we will announce the next city for our US roadshow.

But first, a few highlights from a very successful 2023…

With support from the U.S. Air Force, we completed flight testing of HEXA's "beginner mode" flight envelope.

We moved into a new, state-of-the-art operations center near Austin, TX where we perform flight testing, operational testing, staff and crew training, and customer demonstration flights.

We went viral - over 130M views! When Supercar Blondie reached out to us, we never could have imagined the response to this video. People love SCB and they love HEXA!

We became the most viewed eVTOL aircraft in the world with over 130M views. When Supercar Blondie reached out to us, we never could have imagined the response to this video. People love SCB and they love HEXA!

Our Chief Pilot, Jace McCown, conducted a ground-breaking livestream from onboard HEXA.

We completed our pre-launch, "Beta" flight test program - fine tuning our training program and flight operations with groups of real pilots at our new operations center (watch one pilot's reaction to her flight - it's incredible!).

After almost 5 years of (mostly) patient waiting, customers from our prepaid waitlist are flying HEXA!

With our first tour location ready to be launched in February and soon to be announced, we’re looking ahead to scaling operations and production, and growing our team.

We’re grateful for your continued support of our mission to bring the joy and utility of personal flight to the world. We can’t wait to fly with you in 2024!

“There’s just no words!” Watch this pilot’s reaction to piloting HEXA!

When Alicia arrived at our Operations Center near Austin, TX, she had no idea what was in store. Her husband had invested through StartEngine, qualifying to participate in our Early Access Beta Flight Program. He teamed up with our staff and arranged the flights as a complete surprise - part of a wedding anniversary celebration!

When they arrived at our location, HEXA was in the field ready for their flights. We loved being part of the surprise! We gave Alicia an overview of the morning and after a brief orientation, flight training began. About one hour later, Alicia piloted HEXA!

Everyone who flies HEXA has absolutely loved it, but when we captured Alicia’s reaction right after she landed, we know we had to share it. You can watch it below (and you can’t help but smile!).

LIFT Shares 1H 2023 Financial Update

LIFT recently filed its semiannual report (Form 1-SA) with the SEC and is thrilled to be sharing some financial highlights for the fiscal six-month period ending June 30, 2023:

  • Revenues increased by 32% to $2,019,172

  • GAAP net loss narrowed by 61% to ($638,917)

  • EBITDA swings from negative ($980,784) to positive $123,264

  • Total funding surpasses $19M

“It’s quite remarkable and a real testament to our amazing team that we’ve been able to achieve positive EBITDA before even launching our core commercial operations,” says Matt Chasen, CEO of LIFT.

“Our approach to the eVTOL industry has been to enter the market with a simple, ultralight-class, multirotor vehicle designed for personal use vs. most others that require certification of much larger and more complex aircraft along with commercial air taxi operations.”

With certification timelines continuously pushed out by other eVTOL companies, many may not make it through to certification, production, and commercial launch. With less than $20M in funding required to date, LIFT has already produced a fleet of 16 aircraft and is on track to be the first eVTOL company to enter revenue flight operations starting in Q4.

Join us as we build a future where everyone can fly!

LESS THAN 1 WEEK LEFT TO INVEST!

Note: LIFT is transitioning from generating revenue from funded research and development contracts to launching commercial operations, which may result in net losses increasing in future periods depending on when Beta customer trials end and how fast it accelerates investment in developing LIFT vertiport locations.

About EBITDA. EBITDA is calculated as operating income excluding non-cash depreciation and amortization expenses. EBITDA is not defined by U.S. generally accepted accounting principles and should be considered in addition to, and not as a substitute for, net income. Please read LIFT’s full semiannual report here: Form 1-SA.

FAA Highlights ASSURE Program Featuring HEXA

LIFT is thrilled to be assisting in developing what is, to our knowledge, the world’s first college or university eVTOL aircraft maintenance training program.

As shared by the FAA in this recent post, “flying cars are coming.” With eVTOL aircraft promising to transform the future of transportation, and maintenance as a key component of eVTOL operations, this partnership sets the stage for the future.

Not only is Sinclair capturing the minds of future generations with an up-close look at our aircraft, HEXA (as seen above), but also those of current Sinclair students.

The school is offering groundbreaking, for-credit eVTOL maintenance courses beginning with the 2023-2024 school year, utilizing maintenance training and knowledge provided to their team by LIFT Aircraft engineers. Students will engage in hands-on learning with a full-scale production HEXA and VR flight simulator.

Group training model doubles expected revenue per hour

Beta flights are a comprehensive test bed not just for the customer experience, but also to validate the assumptions we made in our operating model and financial forecast.

Our original model assumed a one-on-one training and flight experience between a pilot and flight instructor. As many of our Beta pilots booked and arrived in groups, we tested a group training and flying model, with up to four pilots training simultaneously.

We were excited to learn that the group model proved to be much more fun and exciting for the participants. It also allowed us to fly up to four flights per hour, per aircraft, versus our originally forecast two flights per hour. As you can imagine, this has major implications for the potential profitability of LIFT’s business.

Cities should mandate that one of these be stationed on the roof of every building over a certain capacity. To help that along Lift could allow remote piloting from an emergency response center. This would reduce loss of life in fires and 9/11 type disasters. Dozens of rescue vehicles would instantly be available in any emergency, and all they would need to do is ferry people from one rooftop to another.

We agree, Stephen! HEXA can be remotely piloted, and our cargo module can be adapted to carry a stretcher or basket for emergency medical transport. HEXA is small and lightweight enough to land almost anywhere - including rooftops built to IBC standards. We are working with several emergency response agencies and hope to start trials soon.

Hi, I imagine the eVTOL, especially once one starts commercializing is going to be very capital intensive. CF will not suffice likely for those kinds of capital needs. As an example I see Archer just raised $215m (United and Boeing invested) and has a $1.6b. Joby has a market cap of $4.9b. I like the eVTOL industry and Lift. But tell me, without the large strategic investors that other eVTOL's have, and without hundreds of millions in funds, how will Lift be successful, achieve meaningful revenue and a $1b+ valuation?

Hi Yosef, for most other eVTOL developers whose aircraft are heavier, more complex and require type certification - and those that are also launching Part 135 air taxi services, they also require operational certification - you are correct, huge amounts of capital are needed. We have taken an approach that is much less capital intensive. As an ultralight compliant with Part 103, no certification is needed. People will be renting and piloting HEXA themselves - so no operational certification is required either. LIFT is not relying solely on crowdfunding - less than 1/3 of our $18M in funding to date has come from our RegCF raises. We also have venture capital, institutional and strategic investors - as well as support from DoD sponsored SBIR grants - that have provided the majority of our funding to date. As we approach our commercial launch, we'll be generating significant revenue from aircraft sales (80% of our Founder's Series aircraft are sold) and our pay-per-flight rental operations. Unlike most others, we'll be able to fund a substantial part of our growth with actual revenue.

I would like to know why a share $1.87 at this round. I think it should more than last round. It look like we lost some money from last round already.

We responded to this in previous comments, but we adjusted the share price downward somewhat based on stock market comparables. Several of our closest comps have rebounded significantly since we set this price, however. We are giving previous round investors significant bonus shares such that they can cost average down to the new price with a similar investment - see "Rewards" section.

I purchased a ride at the very beginning of your announcements several years ago. I since made an investment through Start Engine. When will I be invited to see a Hexagon and take a ride?

Hi Larry, thanks for your early support for LIFT! It was our early bird reservation holders that validated our business plan for launching LIFT and all of the hard work that has led up to our imminent commercial launch. We've already invited investors who have invested over $5,000 into our pre-commercial launch, Beta test program, and we'll be inviting our early reservation holders as the first group following our commercial launch (commercial meaning customers are pay for flights vs. Beta testing is non-revenue). Invitations to our Austin operations center will go out in the next 30-60 days for flights starting in Q4. We're also readying our tour assets to bring HEXA to you - so Early bird reservation holders will have the option to visit us in Austin, or wait for their tour stop. We're so grateful for your support. We're glad you share our vision for personal, vertical flight for everyone!

I invested in the prior campaign but decided not to make another investment in this round. I think HEXA is great however as an investor I would love to have seen a video of what is claimed HEXA is capable of doing. I think investors need to see its capabilities. Every video I have seen on You Tube does not show its full capabilities. Those videos only show slow speeds, slow maneuvers and 40 feet off the ground, hovering then landing. This is what stopped me from making another investment. I have been waiting and hoping to see a video where HEXA lands on water (with a pilot) powers down to show its buoyancy then power up and takes off, then fly at 60 plus MPH while demonstrating quick maneuvers while over 40’ high (maybe at 800 ft plus). I have seen other videos of single seat small VTOL’s which demonstrate their speed, maneuverability, over 40’ with one VTOL demonstrating it’s ballistic parachute which was deployed in mid air. This shouldn’t be a problem for HEXA since it is what I believe to be one of the safest VTOL built. HEXA is great but I think investors need to see its capabilities.

Hi Joseph, thanks for the very thoughtful question and feedback - and thanks for investing in the previous round. You are absolutely correct - we have not shared videos of HEXA beyond what we call our "Beginner Mode", which is a very limited flight envelope (<40' AGL, <25 mph, etc.). While we have tested and flown significantly higher and faster ("Intermediate Mode"), including water takeoffs and landings, much of that testing has been done with the USAF and we're not able to release. We will certainly consider sharing more videos of expanded capabilities. Because we're launching our operations soon (we believe it will be the first of its kind in the world) with beginner training and flights, we have been far more focussed on ensuring the basic beginner envelope is as safe as possible. That allows us to start generating revenue even before the full flight envelope has been tested with enough data to clear for customer flights. While not as sexy maybe as flying faster and higher, I believe we are still the only eVTOL company to have shared a piloted motor-out test video. As an investor, I think you should like that we're focussed on that. As expected, our Beta pilots are absolutely thrilled to fly solo in an eVTOL even in beginner mode - it really is a magical feeling.

I'm curious about a few things: 1. Is Qarbon Aerospace the integration contracor preforming the builds or are there others? 2. How long will it take to clear the 130 aircraft backlog? I gather with the events that have hosted an aircraft demonstration, or static display, have the goal of securing more orders. What is your throughput and how long will it take to clear the backlog while new orders are (hopefully) pouring in? 3. What do customer concepts of operation say about requiring contractor logistics support for customers who don't have a sustainment tail? Not to mention providing logistics support for customers who might buy aircraft outright? 4. Are any company owned aircraft generating revenue?

So sorry for missing your question, Richard. 1. Qarbon produces most of our composite structures and also does final assembly at their Red Oak, Texas facility... So they don't do what I would call "integration" exactly. 2. The partners that we've announced pre-orders with are in varying stages of the planning and launch of networks of vertiports (site selection, regulatory approvals, etc.) so we're working with each to plan production and delivery in support of their plans. Our first production run (now up to 16 aircraft ) has been at a rate of approximately 1 per month, but we plan on scaling that to 2 and then 4 over the coming quarters as vertiports are developed. 3. Our concept of operations is definitely very new to aviation, where the aircraft OEMs and separate from the airlines or FBO's that operatem, the airports where they operate, separate from training, maintenance and flights controllers. We're building an integrated system for aircraft, training, maintenance, rental operations, scheduling, etc. We're not planning to sell HEXA to end users to operate outside of LIFT approved locations - all sales will require our ongoing support, operators will required to license and use our operating systems, etc. which is definitely a new thing but a major improvement in many ways. 4. Yes, our company owned fleet has already been generating significant revenue via sponsored research, development, test and evaluation/demonstration contracts. However we have not yet launch paid customer rental to the public. That will be soon after we complete our Beta testing, which is currently ongoing at our Austin Operations Test Center (2 days a week, scaling up to 7).

I love the "Cargo Hexa" update. Super cool stuff. I almost think there's more immediate revenue and profitability there than the flying car for now + Zipline has been taking off getting 9 figure checks for their product.

Thanks, Caleb! We're really excite about both the piloted HEXA and the unmanned HEXA Cargo model. The beauty is in the modularity and commonality - we essentially get two great products from one development program.

FAQS

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System (“ATS”) operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board (“SE BB”) is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
