1) What is World Tree’s track record and what can I expect from my 2022 investment? 

 

Every year the price of the investment has increased, alongside improvements to the program and the overall tree health and survival rates. World Tree has also worked extremely hard to implement measures to improve farmer performance. The improvements include expanded forestry teams, new genotypes, new nurseries, additional growing regions and more in-depth soil analysis.   

 

We are now on track for our target of 75% survival for our previous two years of plantings.  It is important to note that we don’t expect all the trees to survive, and our experience is that the highest losses are in the first two years after planting. This is why we have a fund for replacement trees that are lost in those first two years.   

 

There are no guarantees with any investment – especially one as pioneering as the Eco-Tree Program. Our downside analysis indicates a breakeven point for investors of 25% tree survival. In other words, as long as at least 25% of the trees survive and grow to our target size, and we can sell the lumber, investors will receive a return.

 

2) Is the Empress Splendor tree invasive? 

 

The short answer is: No! 

 

The longer answer is: The Empress Splendor comes from the genus Paulownia. It is grown around the world with common names including Empress, Princess, Foxglove, and Kiri tree. These trees are grown and loved for enjoyment and shade in gardens, and for lumber on tree farms. 

 

There are at least 9 species of Paulownia. Unfortunately, popular internet search results on Paulownia most often lead to the P. tomentosa, the only species of Paulownia that is on an invasive species list. There are at least 8 other species of Paulownia that are not invasive, including the P. fortunei and P. elongata planted by World Tree. 

 

World Tree does not grow or plant invasive species and in our audits of our tree farms we have never once seen any spread.

3) It sounds risky - How do you protect the investment? 

 

An important aspect of Word Tree’s program is a ‘many eggs in many baskets’ approach to planting the trees. Rather than plant all the trees in one area, we invest in many different tree farms spread across a wide geographic area. 

 

Our farms are based in the USA, Costa Rica, Guatemala and Mexico and are highly diversified within each region. The average farm size is 20 acres, with 110 trees planted per acre. 

 

There can be huge variation in farm performance, due to factors such as local conditions, climate events, farmer engagement and life events. However, investors receive a pro-rata share of any profits from all the farms in the particular series they invested in - diversifying risk across all the locations. 

 

Other precautionary measures include the maintenance of a reserve for replacement trees, and a regular farm monitoring and auditing system. Our teams are working with the farmers putting in corrections along the way to get the best outcome we can.

I think you would be better off telling investors the truth about the Impress Tree (it is invasive and illegal in Connecticut). Selling it to farmers for logging is a great idea, but no need to make the tree out to be something that it is not. The Chinese empress tree's gift for growing at lightning speeds (for a tree) is actually a curse. They have become very invasive in the United States. They're even classified as a noxious weed in Connecticut, where sales of this species are banned. Just one tree can take over an entire garden in a few years and choke out other plants around it by cutting off sunlight and sucking up resources like water and nutrients. After the first year, each one can still grow up to 15 feet annually until it reaches maturity. This can also be a huge problem if you have one planted near your house, as empress trees produce thick, large roots that can damage foundations and concrete. I have a question that follows Erik S's question and your answer. In your pitch you illustrate potential payouts to your investors for an investment of $4600. I won't go into the amount here, but in the graph you show payouts for tree survival rates of 25%, 50%, and 75% until harvest. Especially for the investors of the 2016 series and 2018 series it does not look so rosy, because already more than half of the trees did not survive the first 6 and 4 years respectively since planting. It is clear that anything can happen (severe weather, drought, ...), that caused this loss of trees. However, due to the geographical diversification, I would have assumed that a significantly higher percentage of the trees would have survived until now, especially since the farmers should be aware that they have to take more care of these trees than of other trees. My question is: Is the high loss of trees mainly due to bad weather conditions? Or are there other reasons, e.g. that the farmers underestimated the work with the trees and did not or could not take care of the trees as much as they should have? If there are other reasons that are relevant to what I unfortunately see as a very high loss of trees, what measures have you taken in the meantime to achieve a higher survival rate for the trees in the future? Here it might be quite interesting to indicate for each series the survival rate since planting (2016: year 1 x1 %, year 2 x2 %, year 3 x3%, ...; 2018: year 1 y1 %, year 2 y2 %; ...2021: year 1 90 (?) %), which might support that the measures you may have taken (e. g. e.g. better farmer training, more farm visits, limiting the number of trees per farmer to a level that the tree work can also be well managed by the farmer alongside other work on the farm) seem to be successful. I have invested in each series since 2018 and in principle consider this to be a very interesting investment, but as an investor I also hope, as do World Tree and the farmers, that as high a percentage of the trees as possible survive until harvest. I wish you great success with this crowdfunding campaign.

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements.
