Make sure you understand what the company you’re investing in is offering you by reviewing the deal terms, pitch materials, and understanding the risks associated with the investment.

Choose your investment amount, payment method, agree to the Terms and Conditions, and complete your commitment.

Wait for it…

If the campaign is successful (i.e. if it reaches the minimum funding goal in investment commitments by the campaign deadline), you will receive your security once the campaign closes and the final accounting takes place.

If the campaign is unsuccessful (i.e. if it does not reach the minimum funding goal in investment commitments by the deadline), your commitment will be refunded in full.

Where your funds go

Once you make an investment, funds will be held in an escrow account maintained by Prime Trust, LLC, Republic’s escrow partner. The funds will be released from this account to the company after the campaign ends.

Cancelling an investment

You may cancel an investment at anytime up to 48 hours before a campaign deadline or an intermediate closing date using the cancellation tool on your investment profile.

Remember, reducing your investment is considered a cancellation, and you cannot cancel or reduce your investment within the last 48 hours of a campaign.

What happens when a campaign funding goal is reached

You can see when the minimal funding amount has been met on the campaign page. If the campaign funding goal has been reached, the company may either:

  • decide to close the campaign. In this instance, the company must give investors at least 5 business days notice of their intention to close;

  • notify investors of the intention to conduct a rolling close, which allows the company to draw down funds and continue to accept investments; or

  • continue without drawing down funds until the stated deadline.

When the company makes changes during a campaign

If any material change occurs during the campaign, the startup must notify investors and those investors must re-confirm their commitments.

If an investor does not reconfirm his or her investment within 5 business days after notice is sent, the investor’s commitment will be automatically cancelled and their funds will be returned without interest or deductions.

If an investor reconfirms their commitment, then the campaign continues as normal. The funds will be released from the escrow account directly to the company, and investors will receive their securities via email.

Can the startup reject my investment?

Yes, every company reserves the right to reject, in whole or in part, any investment commitment at any time before the proceeds are drawn from the escrow account. Any rejected investments will be returned to the investor in full.

Blockchain-related investments

Investors purchasing digital blockchain tokens will receive a document evidencing their right to such tokens. The issuing company will deliver tokens according to the terms of that document.
