Key Deal Facts
A working & adopted product: Starting a vertically integrated venture requires great skill and even greater financial resources with a high risk of never completing a product. After raising & investing $12M in research & development, LEVELS created its platform on iOS, Android & Web and grew from around 800 early adopters in 01/20 to nearly 40,000 users by 01/21, with clusters building in global metropolises. During market trails users completed transactions in excesses of $2M using the proprietary wait-less LEVELS payment method.
Little competition, well defined markets: LEVELS is great in segmenting large markets into manageable chunks: The platform can grow efficiently, city by city while gaining critical mass regionally, avoiding having to fight for a market share of entire countries at a time and the team is working on taking over the small restaurant advertising market with very little competition in online marketing, which will allow LEVELS to attack the much bigger market of all offline businesses subsequently.
The founders have a strong incentive of meeting their projections: The two LEVELS co-founders have a stock incentive plan where they will lose more than 15% of their shares each time, if LEVELS does not achieve the following milestones: (1) 500k monthly active users 9 months after completing series A. (2) $3M daily transactional revenue 12 months thereafter, (3) $1M per day in advertising or subscription revenue sales another 6 months later.

The Company might incur Irregular Use of Proceeds that may include but are not limited to the following over $10,000: Inter company debt or back payments. Vendor payments. Salary payments made to one’s self, a friend or relative. Any expense labeled “Travel and Entertainment”.
